1. About these Terms

These Terms of Service ("Terms") form a legally binding agreement between you and StockBud Ltd, a company registered in England and Wales (Companies House number 16703766) ("StockBud", "we", "our", "us"), governing your use of the StockBud mobile application and the website at stock-bud.com (together, the "Service").

By downloading, accessing, registering for, or using the Service, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Service.

These Terms should be read together with our Privacy Policy and any competition-specific or feature-specific rules we publish within the app, which are incorporated by reference.

2. Definitions

3. Eligibility

You must be at least 18 years old and resident in a jurisdiction where the Service is lawfully available to use StockBud. By using the Service you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms. The Service is directed primarily at users in the United Kingdom; we make no representation that the Service is appropriate or available for use in other locations.

4. Your account

To use most features you must create an Account. You agree to:

You must not share, sell, or transfer your Account, or create an Account using another person's identity or false information. We may refuse registration, or suspend or terminate Accounts, where we reasonably believe these Terms have been breached or activity is fraudulent, abusive, or unlawful.

5. The Service

StockBud is a social investing platform that may provide the following features:

We may add, change, suspend, or remove features at any time. The Service is provided for your personal, non-commercial use only.

6. Beta & early-access features

Certain features — including, at the date of these Terms, our Brokerage integration (Trading 212) — are offered on a beta or early-access basis. Beta features are provided "as is", may be incomplete, may contain errors or inaccuracies, may change or be withdrawn without notice, and may be less stable or reliable than generally released features. You use beta features at your own risk, and our liability in respect of them is limited to the fullest extent permitted by law.

7. Not financial advice & risk warning

StockBud does not provide financial, investment, tax, or legal advice. The Service, including all data, analytics, leaderboards, rankings, and User Content, is provided for informational, educational, and entertainment purposes only. Nothing on StockBud constitutes a personal recommendation or an offer, solicitation, or inducement to buy, sell, or hold any security or to adopt any investment strategy.

Capital at risk. The value of investments can go down as well as up and you may get back less than you invested. Past performance, including any performance shown on leaderboards or profiles, is not a reliable indicator of future results. You are solely responsible for your own investment decisions and should seek independent advice from a suitably qualified and regulated financial adviser before investing.

8. No regulated services

StockBud is not authorised or regulated by the Financial Conduct Authority (FCA) and does not carry on any regulated activity under the Financial Services and Markets Act 2000. We are not a broker, dealer, custodian, investment manager, or financial adviser. We do not execute trades, hold client money or assets, or arrange deals in investments. Any execution of trades takes place exclusively through your own Brokerage, under your Brokerage's terms and its own regulatory authorisations.

9. Third-party brokerage integrations

You may choose to link a Brokerage (for example, Trading 212) to display your portfolio data within the Service. By linking a Brokerage, you acknowledge and agree that:

Any loss, damage, or liability arising from your use of a linked Brokerage — including investment losses, data discrepancies, or unauthorised access to your Brokerage account — is your responsibility and not ours, except to the extent caused by our own breach of these Terms or negligence and subject to Section 19.

10. Market data

Market data, prices, charts, and related information made available through the Service are obtained from third-party data providers. Such data may be delayed, may contain errors, and is provided without any warranty. It is for general information only and must not be relied upon for trading or investment decisions. We are not liable for any loss arising from reliance on market data.

11. Competitions, leagues & prizes

From time to time we may run Competitions. Where we do:

Competitions are not a form of investment, and entry does not give you any interest in any real security. We make no representation that participation will be profitable.

12. User content & conduct

You retain ownership of your User Content. By submitting User Content, you grant us and our service providers a non-exclusive, worldwide, royalty-free, sub-licensable licence to host, store, reproduce, display, adapt, and distribute that User Content for the purposes of operating, providing, promoting, and improving the Service. This licence ends when your User Content is deleted, except to the extent it has been shared with others who have not deleted it, or where retention is required by law.

You represent that you own or have the necessary rights to your User Content and that it does not infringe any third party's rights. You agree not to:

13. Moderation & reporting

We may, but are not obliged to, monitor, review, moderate, remove, or restrict User Content and may suspend or terminate Accounts that breach these Terms, in each case at our sole discretion. We are not responsible for User Content posted by others and do not endorse any opinions expressed by users. If you encounter Content that breaches these Terms, please report it to support@stock-bud.com.

14. Intellectual property

The StockBud name, logo, brand, app and website design, software, and all associated content (excluding User Content) are owned by or licensed to StockBud Ltd and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Service except as permitted by law or with our prior written consent.

15. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that feedback without restriction or obligation to you.

16. Third-party services & app stores

The Service relies on, and may link to, third-party services including app stores, hosting and analytics providers, market-data providers, and Brokerages. We are not responsible for third-party services and their use may be subject to separate terms.

If you download the app from the Apple App Store or Google Play, you also agree to those stores' terms. You acknowledge that these Terms are between you and StockBud only, not with Apple or Google, and that Apple and Google are not responsible for the app or for providing support, and are third-party beneficiaries entitled to enforce these Terms against you to the extent applicable.

17. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you acknowledge that we may process your personal data as set out there.

18. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties or conditions of any kind, whether express, implied, or statutory, including any implied warranties of satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any data, analytics, or User Content will be accurate, complete, or reliable.

19. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under English law (including your statutory rights as a consumer under the Consumer Rights Act 2015).

Subject to the paragraph above, and to the fullest extent permitted by law:

The Service is intended for personal use; we have no liability for any business losses.

20. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless StockBud Ltd, its officers, employees, and contractors from and against any claims, liabilities, losses, damages, and reasonable costs (including legal fees) arising out of or connected with your breach of these Terms, your User Content, or your misuse of the Service.

21. Suspension & termination

You may stop using the Service and delete your Account at any time. We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, where we reasonably consider that you have breached these Terms, where required for security, legal, or operational reasons, or where we discontinue the Service. On termination, the licences granted to you end, but any provisions which by their nature should survive (including Sections 7–10, 14, 19, 20, 24, and 25) will continue to apply.

22. Force majeure

We are not liable for any failure or delay in performing our obligations where caused by events beyond our reasonable control, including outages or failures of third-party providers, Brokerages, market-data feeds, internet or telecommunications infrastructure, acts of God, or government action.

23. Changes to the Service & Terms

We may update these Terms from time to time. Where changes are material, we will give you reasonable notice through the app or by email before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

24. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign or transfer your rights under these Terms without our consent; we may assign ours to an affiliate or successor. These Terms are the entire agreement between you and us regarding the Service and supersede any prior agreements. Except as stated in Section 16 (Apple/Google), these Terms do not create any rights for third parties under the Contracts (Rights of Third Parties) Act 1999.

25. Governing law & jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK, you may also bring proceedings in your home jurisdiction. Nothing in this section affects your mandatory statutory rights.
